These Terms of Use ("Terms") govern your access to and use of the RetGuard website, software, hardware, and services (collectively, the "Services") provided by RetGuard ("we," "our," or "us"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.

1. Acceptance of Terms

By accessing this website, purchasing or using the RetGuard screening system, or engaging with any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Product Description

RetGuard is an AI-powered retinal screening system deployed on edge hardware to assist healthcare professionals in screening for retinal conditions including Diabetic Retinopathy, Glaucoma, Hypertensive Retinopathy, Age-Related Macular Degeneration (AMD), and Diabetic Macular Edema (DME).

RetGuard is a clinical decision support tool, not a diagnostic device. The system provides screening results and AI-generated analyses to assist qualified healthcare professionals in their clinical workflow. RetGuard outputs — including classifications, confidence scores, and Grad-CAM visualizations — are intended to supplement, not replace, professional medical judgment.

3. Intended Use

RetGuard is intended for use exclusively by trained healthcare professionals, including but not limited to physicians, optometrists, ophthalmologists, nurses, and qualified clinical technicians. The system must be operated within an appropriate clinical setting and in accordance with the training and documentation provided by RetGuard.

Users must complete the RetGuard onboarding program before operating the system in a clinical environment. The system is not intended for use by patients or untrained individuals.

4. Limitations

RetGuard is not a substitute for comprehensive clinical examination, professional medical judgment, or specialist consultation. Users of the RetGuard system acknowledge and agree that:

  • Screening results are probabilistic and may include false positives or false negatives.
  • All positive screening findings should be confirmed through appropriate specialist evaluation.
  • Clinical decisions — including diagnosis, treatment, and referral — remain the sole responsibility of the treating healthcare professional.
  • RetGuard does not guarantee the detection of all retinal conditions or all stages of the conditions it screens for.
  • Image quality, patient cooperation, and device calibration can affect screening accuracy.

5. Intellectual Property

All intellectual property rights in and to the RetGuard system — including the software, screening algorithms, documentation, website content, trademarks, and trade dress — are owned by RetGuard or its licensors. These Terms do not grant you any ownership interest in our intellectual property.

You are granted a limited, non-exclusive, non-transferable license to use the RetGuard system in accordance with these Terms and any applicable licensing agreements. You may not reverse engineer, decompile, modify, or create derivative works based on the RetGuard software or screening technology.

6. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure, or that any defects will be corrected. We do not warrant any specific level of accuracy, sensitivity, or specificity in screening results.

7. Limitation of Liability

To the maximum extent permitted by applicable law, RetGuard and its directors, officers, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with:

  • Your use of or inability to use the Services
  • Any clinical decisions made based on RetGuard screening results
  • Any unauthorized access to or alteration of your data or transmissions
  • Any errors, inaccuracies, or omissions in screening results
  • Any other matter relating to the Services

In no event shall our total liability exceed the amount you paid for the specific Service giving rise to the claim during the twelve (12) months preceding the event.

8. Indemnification

You agree to indemnify, defend, and hold harmless RetGuard, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services in violation of these Terms
  • Your use of the RetGuard system outside its intended purpose or by untrained personnel
  • Clinical decisions or patient outcomes resulting from your interpretation of RetGuard screening results
  • Your violation of any applicable law or regulation

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which RetGuard is incorporated, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
